Job Description Summary
This role will support the Legal Department by executing on processes, projects, and administrative functions. Will independently analyze, interpret, formulate and draft complex legal documents and memoranda. Will formulate, implement, and interpret policies. Will provide expert advice to management and negotiate agreements and resolve disputes with third parties. Will conduct/support Legal and Compliance training as needed. Will track/report/support litigation matters and intellectual property matters (trademark and patent portfolios).
Job Description
Provide and manage professional legal support to an in-house legal department and external counsel retained to represent the company
Ability to work within, administer, and use contracting tools, including Icertis and SalesForce.com
Assist in-house and external counsel with management of marketing, advertising, and intellectual property portfolio, including trademark renewals, copyright filings, and enforcement actions; facilitate signatures, monitor dockets, and track documents in process
Provide support to Legal Department for litigation matters, including written discovery and legal holds
Provide back up for labor/employment issues, subsidiary management, and corporate compliance matters
Other compliance and administrative duties and special projects as assigned
Corporate Procurement and Sales Contract Support for North American contracting:
Manage and administer intake of contract review requests, including, but not limited to, non-disclosure agreements, master service and supply agreements (IT software, hardware and maintenance contracts, ingredient purchases, packaging agreements), statements of work, product agreements, purchase orders, real estate (easements, leases), sales contracts, warehousing agreements, transportation agreements (rail, ocean, truck), agricultural agreements (purchase and storage), capital and construction projects, and other commercial agreements as needed
Prioritize and provide support based on business need
Issue spot and gather additional information as needed and screen issues
Conduct legal review/negotiation/draft of contracts for adherence to company policies and preferred terms and conditions
Provide direction, interpretation, advice and recommendations to company personnel, and negotiate with third parties to bind the company in contractual matters
Propose and create standardized language for new contracts or improvements to existing contract templates; assist with contract template selection and maintenance
Create and administer contract training for Corporate and Sales business units as needed
Analyze and report on specific risks associated with contracts
Basic & Preferred Qualifications
Four-year college degree in a related field OR in an un-related field and with a minor in paralegal studies; OR a certificate from a two-year paralegal studies program, preferably ABA- certified
3+ years directly related experience; OR a combination of six (6) year’s comparable experience working in a law firm, corporate legal department, and/or government agency
Knowledge, understanding, and experience working with and managing contracts, including familiarity with basic commercial contract terms and conditions, contract negotiation, and contract lifecycles
Ability to anticipate, identify, analyze, and resolve conflict and problems
Strong analytical and problem-solving skills with ability to define problems, collect and analyze data, establish facts, and draw valid conclusions.
Time management and organizational skills necessary to manage multiple projects, appropriately prioritize workload, plan for resources to meet deadlines and goals, and respond to day-to-day functional team and department needs
Effective planning, prioritization, and organizational skills; exercise independent judgment in the prioritization of business needs and tasks
Excellent administrative, document preparation, attention to deal, and proofreading skills
Ability to work independently in a fast-paced, deadline-driven environment while taking direction from multiple individuals; be self-directed in daily activities, and capable of adapting and responding to changing situations
May supervise support staff
Self-starter / growth mindset / small team environment
Excellent communication skills (interpersonal, verbal and written) with the ability to interact with all functional areas of the business across many geographic locations
High level of integrity and discretion; truthful, discreet and able to maintain confidentiality and collegiality while working on a wide range of subject matters in a team environment
Utilize full suite of Microsoft Office products and other software programs such as automated contracting systems (e.g., Icertis, Salesforce etc.)
Adept at managing and completing simultaneous tasks/projects under deadline pressures

This compensation is specific to this position and takes into account a number of variables. Actual compensation may be higher or lower in the range posted based on various factors, including, but not limited to, job duties, experience and expertise. A candidate’s work location could also impact the actual compensation being outside of the range to reflect local cost of labor. A reasonable annual estimate of the range for this role based on the variables previously mentioned is: $84,070.00 - $126,100.00
